These Terms of Service ("Terms") govern your use of Themis by Lonia AI ("Themis," "the Service"), a self-service medical bill reconciliation platform operated by Lonia AI ("we," "us," or "our"). By creating an account or using Themis, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Description of Service
Themis is a self-service platform that helps users upload medical bills and insurance Explanation of Benefits (EOB) documents, compare charges side-by-side, identify potential discrepancies, track deductible and out-of-pocket spending, and generate dispute letter templates.
Themis uses a local-first architecture: your medical documents are processed in your browser and are not stored on our servers. Account metadata (name, email, subscription status) is stored securely in our database.
2. Eligibility
You must be at least 18 years old to use Themis. By creating an account, you represent that you are at least 18 years of age and that the information you provide is accurate.
3. Account Registration
Themis uses Google OAuth for authentication. By signing in, you authorize us to receive your name, email address, and profile photo from Google for account creation purposes.
You are responsible for maintaining the security of your Google account. We are not liable for unauthorized access to your Themis account resulting from compromise of your Google credentials.
4. Subscription Plans and Payment
Plans
Themis offers four subscription tiers: Starter ($19/month), Plus ($49/month), Family ($99/month), and Pro ($199/month). Annual plans are available at a discounted rate. Current pricing and feature details are listed on our pricing page at https://themis.lonia.ai.
Billing
All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date.
Price Changes
We reserve the right to change subscription prices. If we increase prices, we will provide at least 30 days' notice via email. Price increases will take effect at your next billing cycle after the notice period.
Cancellation
You may cancel your subscription at any time through the Themis application or by contacting support@lonia.ai. Upon cancellation:
- Your access continues until the end of your current paid billing period.
- Your account is not deleted — you retain access to free-tier functionality (if available) or can resubscribe later.
- Locally stored data in your browser remains accessible to you regardless of subscription status.
Refunds
We do not offer prorated refunds for partial billing periods. If you cancel mid-cycle, you retain access for the remainder of that cycle. If you experience a technical issue that prevents you from using the Service, contact support@lonia.ai and we will evaluate your situation on a case-by-case basis.
5. Acceptable Use
You agree to use Themis only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any purpose other than personal medical bill review and reconciliation
- Attempt to access other users' data or accounts
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated tools (bots, scrapers, crawlers) to access the Service
- Upload content that is malicious, fraudulent, or violates any law
- Resell, sublicense, or redistribute access to the Service without written permission
- Misrepresent the output of Themis as professional medical billing advice, legal advice, or insurance guidance

Not Medical, Legal, or Financial Advice
Themis is an analytical tool, not a professional service.
The information provided by Themis — including discrepancy flags, reconciliation results, and dispute letter templates — is for informational and educational purposes only.
Themis does not provide medical advice, legal advice, insurance advice, or professional billing consultation. The Service does not guarantee that any identified discrepancy constitutes an actual billing error, nor does it guarantee any particular outcome from disputes initiated using information or templates from the Service.
You should consult with a qualified healthcare billing professional, attorney, or insurance representative before making decisions based on Themis output. We are not responsible for any actions you take based on information provided by the Service.
Accuracy
Themis uses automated analysis to flag potential discrepancies between medical bills and EOBs. While we strive for accuracy, automated analysis may produce false positives (flagging items that are not actual errors) or false negatives (missing items that are actual errors). You are responsible for reviewing and verifying all results before taking action.
Virgil AI Assistant (Pro Tier)
The Virgil AI assistant available on the Pro tier provides general information about medical billing codes, insurance terminology, and dispute processes. Virgil's responses are AI-generated and may contain inaccuracies. Virgil does not provide professional advice. Always verify Virgil's output independently.
7. Intellectual Property
Our Property
The Themis platform, including its design, code, branding, documentation, and all associated intellectual property, is owned by Lonia AI. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service as a subscriber.
Your Data
You retain full ownership of all documents you upload and all data generated through your use of the Service. Since your documents are processed locally in your browser, we do not claim any rights to your medical documents or analysis results.
8. Privacy
Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your information.
9. Data and Local Storage
Themis processes your medical documents locally in your browser using IndexedDB. This means:
- Your responsibility: You are responsible for maintaining backups of any data you want to preserve. If you clear your browser data, switch browsers, or use a new device, locally stored documents and analysis results will not be available.
- Our responsibility: We are responsible for maintaining your account data (authentication, subscription status) in our secure database.
We are not liable for data loss resulting from browser data clearing, device changes, browser updates, or any other event affecting your local browser storage.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend access for maintenance, updates, or security reasons. We will provide reasonable notice of planned maintenance when possible.
We are not liable for any loss or damage resulting from Service downtime or interruption.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Lonia AI is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.
- We are not liable for any actions taken by third parties (healthcare providers, insurance companies, or collection agencies) in response to disputes you initiate using information from the Service.
12. Indemnification
You agree to indemnify and hold harmless Lonia AI, its founder, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any dispute you initiate with a healthcare provider or insurance company using information from the Service
13. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. If we discontinue the Service entirely, we will provide at least 60 days' notice via email and prorated refunds for any prepaid annual subscriptions.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via email at least 15 days before the changes take effect
- Provide a summary of what changed
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be resolved in the state or federal courts located in New Jersey.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lonia AI regarding the Service and supersede any prior agreements.
